Terms of Service

These Terms of Service (“Terms”) govern your use of the YourBDM platform (“the Service”), operated by YourBDM Ltd (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

The Service is intended for use by employees of UK recruitment agencies who have been granted access by their employer. You must be at least 18 years old and have the authority to bind yourself and your employer to these Terms. Your account credentials are personal and must not be shared.

2. Licence to use

Subject to your employer’s active subscription, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for legitimate internal business development purposes only. You may not resell, sublicence, or provide third-party access to the Service.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Attempt to gain unauthorised access to the Service or another user’s account.
• Introduce malicious code, scrape data, or reverse-engineer any part of the Service.
• Use AI-generated content in a manner that is misleading, defamatory, or harmful.
• Enter personally identifiable data belonging to individuals who have not consented to its processing.
• Circumvent usage limits, rate limiting, or security controls.

4. AI-generated content

The Service uses large language models (Anthropic Claude) to generate coaching insights, call briefs, and other content. AI-generated content is provided for informational and training purposes only. It may contain errors, inaccuracies, or omissions. You are responsible for independently verifying any material information before acting on it. We do not guarantee the accuracy, completeness, or suitability of AI outputs for any specific purpose.

5. Your data

You retain ownership of all prospect data, call notes, and other content you enter into the Service (“Your Data”). You grant us a limited licence to process Your Data solely to provide the Service, as described in our Privacy Policy. You are responsible for ensuring you have the right to process any personal data you enter, including prospect contact information.

6. Data processing

Where we process personal data on your behalf as a data processor, the terms of our Data Processing Agreement apply. If your agency requires a formal DPA, please contact legal@yourbdm.co.uk.

7. Subscription, billing, and cancellation

Access to the Service is subject to a subscription agreement between us and your agency. Subscription fees, billing cycles, and cancellation terms are set out in that agreement. Individual users do not have direct billing relationships with us unless otherwise agreed.

8. Availability and changes

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will endeavour to provide at least 14 days’ notice for material changes that affect core functionality.

9. Intellectual property

All intellectual property in the Service — including the software, design, brand, and AI model infrastructure — belongs to YourBDM Ltd or its licensors. Nothing in these Terms transfers any IP ownership to you.

10. Limitation of liability

To the maximum extent permitted by applicable law, YourBDM Ltd shall not be liable for any indirect, incidental, consequential, or special loss arising from your use of the Service, including loss of business, revenue, or data. Our total aggregate liability shall not exceed the fees paid by your agency in the 3 months preceding the claim.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify and hold harmless YourBDM Ltd from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or your violation of any applicable law.

12. Third-party services

The Service integrates with third-party providers (including Anthropic and Supabase). Your use of those services is subject to their respective terms of service. We are not responsible for third-party services or their content.

13. Termination

Either party may terminate access for material breach that is not remedied within 14 days of written notice. We may suspend or terminate your individual account immediately for violations of the acceptable use policy in Section 3. Upon termination, your right to access the Service ceases and we will handle your data as described in our Privacy Policy.

14. Governing law and dispute resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after the effective date of a change constitutes acceptance. We will provide at least 14 days’ notice of material changes by email or in-app notification.
